The structure, organization, and contents of this book are as follows. First, it is organized in the order prescribed in Part 3 of the Commercial Code, covering general partnerships, limited partnerships, joint-stock companies, and limited liability companies; among these, the focus is on joint-stock companies, which constitute almost all real companies today. Second, by including practical descriptions regarding share issuance and conversion ratios for convertible shares in joint-stock companies, as well as matters concerning accounting treatment in the accounting relationships of joint-stock companies and content related to various documents in financial statements—as previously mentioned—the aim is to facilitate an understanding of corporate law theory from a practical business perspective. Third, the book seeks to bridge the gap between the theory and practice of commercial law. Specifically, it aims to provide an easy-to-understand lecture on the corporate law section of the Commercial Code and to harmonize legal theory with corporate practice as much as possible to enable learners to comprehend the material more readily. Therefore, while the overall legal theory follows the majority or prevailing view, the author's position is also presented in areas where controversy exists.
